These Terms and Conditions ("Terms") govern your use of the website at pointsbeyond.ai and the services provided by Points Beyond LLC ("Points Beyond AI," "we," "our," or "us"). By engaging our services or using this website, you agree to these Terms.

Privacy and Data Collection

Points Beyond LLC collects limited personal information (name, business name, email address, and phone number) solely for the purpose of delivering services and communicating with clients. We do not sell, rent, or share personal information with third parties except as required to deliver services (e.g. CRM or voice platform providers) or as required by law. By engaging our services or submitting information through this website, you consent to this limited use. Clients who are Virginia residents have rights under the Virginia Consumer Data Protection Act (CDPA), including the right to access, correct, or delete personal data we hold. Requests may be submitted to info@pointsbeyond.ai.

Services

Points Beyond AI provides AI voice agent configuration and management, reputation management (review generation and monitoring), and answer engine / search optimization services to small businesses. Specific deliverables, pricing, and timelines for each engagement are defined in a separate Service Agreement provided at the time of engagement.

Payment Terms

Setup fees are due in full before work begins. Setup fees are non-refundable as they cover discovery, configuration, and onboarding work performed at the start of the engagement.

Monthly retainer fees are billed in advance on the first of each month. The first retainer invoice is issued on the first of the month following service launch.

New clients may cancel their monthly retainer within 30 days of service launch with no penalty or further obligation. Cancellation requests must be submitted in writing to info@pointsbeyond.ai. If cancelled within this window, no additional retainer invoices will be issued and any retainer payment made for the cancellation month will be refunded on a prorated basis from the cancellation date.

All fees beyond the satisfaction window are non-refundable except as required by applicable law or as expressly stated in a written Service Agreement.

Month-to-Month Engagement

Services operate on a month-to-month basis unless a separate written agreement specifies a minimum term. After the 30-day satisfaction window, either party may cancel with 30 days written notice. Cancellation does not entitle the client to a refund of fees already paid for the current billing period.

Acceptable Use

You agree to use Points Beyond AI services only for lawful purposes and in accordance with these Terms. You may not use our services to: transmit unsolicited commercial communications in violation of applicable law; engage in deceptive, fraudulent, or misleading business practices; violate any federal, state, or local regulation including but not limited to the Telephone Consumer Protection Act (TCPA); or harm, harass, or deceive any third party. Points Beyond LLC reserves the right to suspend or terminate services immediately and without refund upon discovery of any prohibited use.

Client Indemnification — TCPA and Voice AI Compliance

You agree to indemnify, defend, and hold harmless Points Beyond LLC, its members, contractors, and agents from and against any claims, damages, penalties, fines, or expenses (including reasonable attorney's fees) arising from: your use of AI voice agent or review request services in violation of the Telephone Consumer Protection Act (TCPA), the FTC Act, or any other applicable federal or state law; any claim by a third party arising from your business operations or your direction of how our services are configured or deployed; or your breach of any provision of these Terms. This indemnification obligation survives termination of the engagement.

Auto-Renewal

Monthly retainer services renew automatically on a month-to-month basis at the then-current rate unless cancelled in accordance with the cancellation provisions of these Terms. You will be invoiced in advance on the first of each month. Continued use of services following invoice delivery constitutes acceptance of the renewal. Points Beyond LLC reserves the right to adjust pricing with 30 days written notice to active clients.

Service Levels and Availability

Points Beyond LLC will use commercially reasonable efforts to deliver services as described in the applicable Service Agreement. We do not guarantee specific uptime, availability, or response times for AI voice agents, reputation management workflows, or any other service component. Service availability may be affected by third-party platform dependencies including but not limited to GoHighLevel, ElevenLabs, and telecommunications providers, which are outside our control. Scheduled maintenance will be communicated to active clients with reasonable advance notice where possible.

Force Majeure

Points Beyond LLC shall not be liable for any delay or failure to perform services resulting from circumstances beyond our reasonable control, including but not limited to: third-party platform outages or service changes (including GoHighLevel, ElevenLabs, Google, or telecommunications providers); internet or telecommunications failures; acts of God, pandemic, or government action; or any other event that makes performance commercially impracticable. We will notify affected clients promptly and resume services as soon as reasonably possible.

Modification of Services

Points Beyond LLC reserves the right to modify, update, or discontinue any service offering at any time with 30 days written notice to active clients. Where a modification materially affects a client's service, the client may cancel the affected service without penalty within 14 days of receiving notice. Continued use of services after the notice period constitutes acceptance of the modification.

Dispute Resolution

In the event of a dispute arising from or related to these Terms or any service engagement, the parties agree to first attempt resolution through good-faith negotiation. If negotiation fails within 30 days, the parties agree to non-binding mediation before a mutually agreed mediator in Fairfax County, Virginia, before initiating any court proceeding. Nothing in this clause prevents either party from seeking emergency injunctive relief. The prevailing party in any subsequent litigation shall be entitled to recover reasonable attorney's fees.

AI Voice Agent Disclosures

We configure AI voice agents to disclose their automated nature to callers if directly asked. You agree not to instruct us to configure agents to deceive callers about their non-human nature.

Review Generation Compliance

Our reputation management services use compliant review request workflows. We do not purchase reviews, offer incentives for reviews, or engage in any practice that violates Google's review policies or the FTC's guidelines on endorsements. You agree not to request that we take any such actions.

Intellectual Property

Content we create for you (AI scripts, FAQ content, AEO copy) is owned by you upon full payment. Our methodologies, templates, and underlying systems remain our intellectual property.

Limitation of Liability

To the maximum extent permitted by applicable law, Points Beyond LLC's total liability for any claim arising from or related to these Terms or our services shall not exceed the total fees paid by you in the three months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

Disclaimer of Warranties

Our services are provided "as is." We do not guarantee specific outcomes such as a defined number of leads, reviews, or search rankings. Results depend on factors outside our control, including your market, competition, and business operations.

Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Fairfax County, Virginia.

Changes to These Terms

We may update these Terms periodically. Continued use of our services after notice of changes constitutes acceptance. Material changes will be communicated to active clients via email.

Non-Solicitation

During the term of any engagement and for 12 months following termination, you agree not to directly solicit, hire, or contract with any contractor, vendor, or technology partner introduced to you by Points Beyond LLC in connection with the delivery of services, without our prior written consent.
